1.1 These Terms and Conditions ("Terms") govern your use of Employ Wizard Ltd's ("we," "us," "our") AI-powered recruitment platform and services (collectively, the "Service").

1.2 Employ Wizard Ltd is a company registered in England and Wales (Company No. 16704324) with its registered office at 20 Wenlock Road, London, N1 7GU.

1.3 By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1.4 These Terms should be read in conjunction with our Privacy and Cookie Policy, which explains how we collect, use, and protect your personal data.

2. Service Description

2.1 Employ Wizard provides an AI-powered platform that helps recruiters and employers:

  • Analyse and score candidate CVs against job requirements
  • Generate anonymised candidate profiles
  • Rank candidates based on suitability scores
  • Provide reasoning for AI-generated assessments

2.2 Our Service uses advanced AI technology to process CV data, but all final hiring decisions remain the responsibility of the recruiter or employer.

2.3 We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Eligibility and User Accounts

3.1 You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service.

3.2 You must provide accurate, current, and complete information when creating an account.

3.3 You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.4 You must notify us immediately of any unauthorised use of your account or any other breach of security.

3.5 We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, illegal, or harmful activities.

4. Acceptable Use

4.1 You agree to use our Service only for lawful purposes and in accordance with these Terms.

4.2 You must not:

  • Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Use our Service to process data of individuals under 16 years of age
  • Interfere with or disrupt our Service or servers
  • Reverse engineer, decompile, or attempt to extract our proprietary algorithms or source code
  • Use our Service for any discriminatory or unlawful recruitment practices

4.3 You are solely responsible for ensuring that your use of CV data complies with applicable data protection laws and that you have obtained necessary consents from candidates.

5. Intellectual Property

5.1 The Service, including all software, algorithms, methodologies, and content (excluding user-uploaded CV data), is owned by us and protected by copyright, trademark, and other intellectual property laws.

5.2 We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.

5.3 You retain ownership of CV data you upload, but you grant us a limited license to process such data as necessary to provide the Service.

5.4 You must not reproduce, distribute, modify, or create derivative works of our Service without our prior written consent.

6. Data Protection and Privacy

6.1 Your use of our Service is subject to our Privacy and Cookie Policy and Data Processing Agreement, both of which form part of these Terms.

6.2 You warrant that you have obtained all necessary consents and have a lawful basis for processing candidate data through our Service.

6.3 We will process personal data only as a data processor on your instructions as the data controller, except where we are required to process data for legal compliance. Our full Data Processing Agreement is available at /data-processing-agreement.

6.4 You acknowledge that our AI processing may involve automated decision-making, but you retain full control over final recruitment decisions.

7. Fees and Payment

7.1 Access to our Service requires payment of the applicable fees as set out on our pricing page or in your subscription agreement.

7.2 All fees are exclusive of applicable taxes, which you are responsible for paying.

7.3 Payment terms are as follows:

  • Monthly subscriptions: payable in advance by the 1st of each month
  • Annual subscriptions: payable annually in advance

7.4 We reserve the right to change our fees with 30 days' notice. Continued use after the notice period constitutes acceptance of the new fees.

7.5 Late payments may incur interest at 4% above the Bank of England base rate and may result in service suspension.

8. Warranties and Disclaimers

8.1 We warrant that:

  • The Service will be provided with reasonable skill and care
  • We have the right to provide the Service

8.2 We do not warrant that:

  • The Service will be uninterrupted or error-free
  • AI-generated scores and analysis will be 100% accurate
  • The Service will meet all of your specific requirements

8.3 Our Service provides AI-assisted analysis as a tool to support recruitment decisions. We do not guarantee that using our Service will result in successful hires or eliminate recruitment risks.

8.4 You acknowledge that AI technology has limitations and may produce imperfect results. You should always exercise human judgment in recruitment decisions.

9. Limitation of Liability

9.1 Nothing in these Terms excludes or limits our liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.

9.2 Subject to clause 9.1, our total liability to you for any loss or damage arising from your use of the Service shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

9.3 We shall not be liable for:

  • Any indirect, incidental, special, or consequential losses
  • Loss of profits, business, or anticipated savings
  • Loss or corruption of data
  • Any losses arising from your reliance on AI-generated analysis without human review

9.4 You acknowledge that our AI analysis is provided "as is" and that recruitment decisions involve inherent risks that cannot be eliminated by technology.

10. Indemnification

10.1 You agree to indemnify and hold us harmless from any claims, losses, or damages arising from:

  • Your breach of these Terms
  • Your violation of applicable laws
  • Your unlawful or negligent use of candidate data
  • Any third-party claims relating to your use of our Service

11. Term and Termination

11.1 These Terms apply from the date you first access our Service and continue until terminated.

11.2 We may terminate or suspend your access to the Service immediately if:

  • You breach these Terms
  • You fail to pay fees when due
  • We cease to provide the Service

11.3 You may terminate your account at any time through your account settings.

11.4 Upon termination:

  • Your access to the Service will cease immediately
  • We will delete your account data within 30 days (subject to legal retention requirements)
  • Outstanding fees remain payable

12. Confidentiality

12.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the use of our Service.

12.2 This obligation continues for 3 years after termination of these Terms.

13. Data Protection Compliance

13.1 You warrant that your use of our Service complies with all applicable data protection laws, including UK GDPR.

13.2 You are responsible for:

  • Obtaining necessary consents from data subjects
  • Providing privacy notices to candidates
  • Responding to data subject requests
  • Maintaining records of processing activities

13.3 We will cooperate with you in responding to data subject requests and regulatory inquiries, subject to our reasonable costs being reimbursed.

14. Third-Party Services

14.1 Our Service may integrate with or link to third-party services (such as Mistral AI SAS for processing).

14.2 We are not responsible for the availability, accuracy, or security of third-party services.

14.3 Your use of third-party services is subject to their respective terms and conditions.

15. Force Majeure

15.1 Neither party shall be liable for any failure or delay in performing obligations due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, or government restrictions.

16. Governing Law and Jurisdiction

16.1 These Terms are governed by the laws of England and Wales.

16.2 The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from these Terms or your use of our Service.

17. Dispute Resolution

17.1 We encourage you to contact us first to resolve any disputes amicably.

17.2 If a dispute cannot be resolved through direct negotiation, it may be referred to mediation before pursuing formal legal action.

17.3 Nothing in this clause prevents either party from seeking urgent injunctive relief where appropriate.

18. Severability

18.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

19.1 These Terms, together with our Privacy and Cookie Policy, constitute the entire agreement between you and us regarding the use of our Service.

19.2 Any waiver of these Terms must be in writing and signed by both parties.

20. Changes to Terms

20.1 We may update these Terms from time to time. We will notify you of material changes via email or through our Service.

20.2 Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
